Purpose of Organization:
To unite in the interest of providing the maximum enjoyment to its members from their perspective properties in Pine Neck Landing; to develop a friendly community life; to attempt economies in the operation and maintenance of our Association’s properties by mutual effort; and to protect and promote the interest of Pine Neck Landing in its relation to the Town of Southampton and East Quogue.
ARTICLE I –MEMBERSHIP
Section 1 –Membership
Every property owner of record shall be entitled to membership, provided he/she subscribes to the purposes of this organization. Joint ownership shall not entitle the member to more than one vote. No property owner shall be entitled to more than one vote despite ownership of more than one lot. No corporation shall be eligible for membership in the Association.
Section 2 –Dues and Assessments
Members of the association shall pay dues and assessments annually, payable every January 1st, and shall be considered delinquent as of February 15th. Any dues or assessments paid after the February 15th
delinquent date, shall be further assessed a late fee of 10% of the overdue amount and any reasonable legal fees and costs incurred by the Association in filing a lien to secure the repayment of such dues and assessments with late fees shall be the liability and obligation of the delinquent member and repayment of such reasonable legal fees and costs may also be secured by the filing of a lien with the Suffolk County clerk. The amount of the annual dues and
assessments shall be submitted to the membership at a general meeting for the succeeding year by the board of directors and shall be approved by a vote of two-thirds of the qualified members present at said meeting.
Section 3 –Good Standing Member
A member in good standing is one, who has paid, in full, past and current, dues and assessments.
Section 4- Expenses Associated with Violations
Expenses associated with the successful enforcement of any violation of Land Use Declaration (Covenant and Restrictions) or the By-Laws of the Pine Neck Landing Association are to be paid by the offending member.
Additionally, corrective action or restitution costs, if applicable, and for the removal of abandoned property is to be paid by the offending member. Payment collection shall be billable directly to the member or through use of lis
pendants.
ARTICLE II– OFFICERS AND BOARD OF DIRECTORS
Section 1 –Officers
The officers shall consist of the following: A President, Vice President, Corresponding Secretary, Recording Secretary and Treasurer. The terms of all officers shall be two years. They shall be elected at the First General Meeting and take office immediately.

A. President
It shall be the duty of the President to call and preside at all meetings of the Board of Directors, and the general meetings of the Association. He/She shall sign all official documents upon their acceptance by the Board of Directors. He/She shall appoint and be ex-officio member of all committees. He/She shall also perform all other necessary duties pertaining to said office. He/She shall keep the seal of the organization
B. Vice-President
The Vice-President shall preside at all meetings and have all the powers and responsibilities given to the President in the absence of the President.
C.
Corresponding Secretary
The Corresponding Secretary shall handle all correspondence of the Association and shall assist the Treasurer in the annual billing of members. In the absence of the recording secretary, the Corresponding Secretary shall perform all said duties.
D. Recording Secretary
The Recording Secretary shall take charge of all papers and effects of the Association, and shall keep the minutes of all meetings.
E. Treasurer
The Treasurer shall keep a correct record of all money received and deposit same in such bank as the Board of Directors may direct. He/She shall make, sign and endorse in the name of the Association when the same has been requested, and a full financial report at the fall meeting.
Section 2 –Office
Only members in good standing are to be eligible for office and privileged to vote.
Section 3 –Governing Board
The governing Board of Directors shall consist of a maximum of 15 members. At each election meeting of the Association, four directors shall be elected for a term of two years, and take office immediately. All officers shall also be members of the Board of Directors. Each ex-President shall become a Board of Directors for two years.
Section 4 –Officers of theAssociation
The officers of the Association and the directors shall be elected by majority vote of the membership at the first general meeting. All voting shall be by written ballot. President shall appoint tellers to count the vote.
Section 5 –Absent Directors & Vacancies
Any member of the Board of Directors who absents himself from (2) consecutive meetings of the Board without reasonable excuse may automatically be dropped from the Board. Any vacancies occurring on the Board of Directors or among the Officers of the Association between election meetings through death, resignation, or other
causes, shall be filled by a majority vote of the Board of Directors.
Section 6 –Duty of the Board of Directors
The duty of the Board of Directors shall be to meet at least three times each year; to hear reports of officers and committees and to consider the act upon all pertinent matters concerning the betterment of the Association.
Section 7 –Board Controlling Affairs
The Board of Directors is authorized to control and manage affairs and business of the Association when the Association is not in session. The Board of Directors shall make a full report of its actions to the Association at each
meeting.
Section 8 –Expulsion
Any member may be expelled from the Association for actions
detrimental to the best interests of the Association by a two-thirds vote of the
qualified members present and voting at any meeting of the
Association.
ARTICLE III– COMMITTEES
Section 1 –Appointments
All committees shall be appointed by the President.
Section 2 –Nominating Committee
Nominating Committee: The President shall annually appoint a Nominating Committee prior to the First General Meeting. They shall prepare a list of candidates for every office and submit same to Corresponding Secretary. The Corresponding Secretary shall mail a copy of this list to each member at least fourteen days prior to the First General Meeting.
ARTICLE IV– MEETINGS OF THE ASSOCIATION
Section 1 – “2” General Meetings
Two General Meetings of the Association shall be held at a time and place designated by the President, between May 1st and October 1st. Written notice shall be given of these meetings at least fourteen days to the said meeting.
Section 2 –Meeting Description
The meetings to be held as designated in Section 1 shall be known as the following:
First Meeting: First General Meeting and/or Election Meeting
Second Meeting: Fall General Meeting
Section 3 –Special Meetings
Special Meetings shall be called by the President or any (7) members of the Board of Directors or upon written the request of fifteen percent (15%) of the voting members upon fourteen days written notice.
ARTICLE V –AMENDMENTS
Section 1 –By-Laws Amendment
This constitution and By-Laws may be amended, repealed or added to by vote of two-thirds of the members present at any meeting of the Association, provided fourteen days written notice of such meeting, stating specifically the proposed amendments to be acted on at such meeting, shall be mailed to the members of the Association.
ARTICLE VI – QUORUM
Section 1 –Definition
A quorum of the Board of Directors shall consist of eight (8) members. A quorum of the Association shall consist of twenty-five percent (25%) of the voting membership.

Section 2 –Robert’s Rules of Order
Robert’s Revised Rules of Order shall be used as a guide to the deliberations of this Association, except as otherwise provided by the Constitution and By-Laws.
ARTICLE VIII – RULES FOR MARINA (REVISED)
1. The owner of each parcel of
property shall be entitled to one slip in the marina upon payment od assessed fees and presentation of a copy of
current boat registration in his/her name, and telephone number for use in case of emergency.
2. Only members in good standing will be allowed non-commercial use of the boat ramp and marina.
3. Slips cannot be exchanged by members without the approval of the marina committee.
4. Guest slips, if available, will be supplied to the member’s guests for a period up to 48 hours. Contact marina committee information.
5. Members who rent will not assign their slip to lessee; boat registration, lease copy, and proof of insurance in lessee’s name must be presented prior to securing a boat slip. Marina committee will then assign a slip to lessee.
6. Members in good standing may be placed on a wait-list for slip re-assignment upon receipt of a written
request to the marine committee. When a wait-list slip becomes available, it will be offered to the
members on the wait-list in the chronological order of their requests.
7. In the event any damages is done to the marina the Association property due to negligence of lessee or said
guests, private owner shall be responsible for all repairs.
8. The Association will not be responsible for any damage to boats in marina.
9. Each slip will not exceed 10 feet in width; individual boat lengths will not exceed 28 feet as recorded on
state boat registration.
10. No swimming in the marina.
11. Boats leaving and entering the marina must not exceed 5 MPH.
12. There will be no overnight sleeping aboard boats, or discharging of wastes.
13. All marina dues and assessments must be paid by February 15th of each year or member’s slip may be assigned to another member. If a member wishes a slip after seasons marina work is done, and no slips
are available, said member shall bear full cost of creating a new slip per marina committee specifications in addition to slip fee.
14. Nothing will be attached to or placed on the horizontal or vertical surfaces on the walkway or the bulkhead. Hardware attachments shall be secure to the horizontal stringer below the walkway.
15. Season begins May 15th and ends November 15th each year. All boats and floats must be removed
from the marina by November 15th.
16. No boat slip will be reserved unless reserve owns boat as it pertains to Article VIII – Section 1.
17. Prohibit the launch of jet skis within Pine Neck Landing Association common grounds.
18. It shall be the duty of the Marina Committee to calculate the number of requests and payments for boat
slips for the coming season. In the event that the requests made and payment received for boat slips exceed the
present capacity for the marina, the Marina Committee through the director of the Committee, may demand forfeiture of any boat slips which has been paid for by a member, and is not utilized by such member by the 15th day of June of such year. Demand shall be made in writing and mailed to such member at their current listed resident address, return receipt requested. The demand shall inform the member of the Committee’s intention to refund their payment for their lost boat slip, and upon refund of said payment deliver such slip for use to another member, for the remainder of the calendar year. The member shall have a period of 15 days from receipt of the demand notice, or from the Marina’s Committee’s receipt of notification that the member has refused the notice to either:
a) Commence use of slip within such 15 days; or
b) Deliver written notice of good cause as to why his/her boat slip is vacant, and as to his/her intention to
use same. The Marina Committee shall determine whether or not to extend such 15 day time period to allow the
member to commence use of its slip and the duration of such extension if any, and shall advise the members accordingly in writing. In the event that the use of the slip is forfeited, such forfeiture shall be for one season only, and the prior holder of the slip, upon timely payment, shall have the right to use the slip for the next season.
19. Storage other than floating docks or finger piers over winter or the closed Marina boating season is
strictly prohibited at the Marina.Finger piers and docks shall be removed during the
winter season or closed Marina boating season. Items remaining will be removed at the owner’s expense.Storage of docks or finger piers will be in the northwest corner of the Marina unless directed otherwise by the Board of
Directors. The privilege of storing the finger piers and dock shall be renewed annually by the Board of
Directors.
20. All boat owners maintaining a boat in the marina, or launching a boat in the marina, using the boat ramp, are
required to have liability insurance for that boat.
ARTICLE IX– RULES FOR BEACH
1. Members in good standing
2. No dogs allowed on the beach
3. No vehicles allowed on the beach
4. No Littering
ARTICLE X –RENTALS
Section 1 –Restriction
Rentals shall be restricted to one family in accordance with the rules of the town of Southampton.
